Text of the notice published in the Court and Commercial Gazette (Monitor Sądowy i Gospodarczy) calling on shareholders of Międzynarodowe Targi Gdańskie SA to deposit their shares at the Company's registered office, published in the Court and Commercial Gazette on 13 October 2020.
The Management Board of Międzynarodowe Targi Gdańskie S.A., with its registered office in Gdańsk (the "Company"), pursuant to Article 16 of the Act of 30 August 2019 amending the Commercial Companies Code and certain other acts (Journal of Laws of 2019, item 1798, as amended by Journal of Laws of 2020, item 875), calls on all shareholders holding the Company's share documents in material (paper) form to deposit them with the Company, at the Company's Secretariat in Gdańsk, ul. Żaglowa 11, Gdańsk (80-560), on business days between 9.00 a.m. and 3.00 p.m.
The deposit of the Company's share documents will be confirmed by a written receipt issued to the Company's shareholder in the form of a handover protocol.
The legal basis for this call is the Act of 30 August 2019 amending the Commercial Companies Code and certain other acts (Journal of Laws of 2019, item 1798, as amended by Journal of Laws of 2020, item 875), under which the mandatory dematerialisation of all the Company's shares is introduced.
On the basis of the documents deposited, entries will be made in the shareholder register, which will be maintained by Biuro Maklerskie PKO Banku Polskiego, selected by resolution of the General Meeting of Shareholders.
It is also announced that:
- in accordance with the above-mentioned Act, the call for the deposit of share documents is addressed to shareholders five times, at intervals of no more than one month and no less than two weeks
- the Company makes information about the call available on the Company's website, in a section set aside for communication with shareholders, for a period of no less than three years from the date of the first call
- the call is made in the manner appropriate for convening the Company's general meeting
- The legal validity of share documents issued by the Company expires by operation of law on 1 March 2021. On that same date, the entries in the shareholder register acquire legal force.
- After 1 March 2021, only a person entered in the shareholder register shall be regarded by the Company as a shareholder
- A share document retains evidentiary force solely for the purpose of demonstrating to the Company that the shareholder is entitled to shareholder rights, until 1 March 2026.
