The Management Board of Międzynarodowe Targi Gdańskie S.A., with its registered office in Gdańsk (the „Company”), announces that on 23 January 2024, a notice concerning the reduction of the Company's share capital was published in the Court and Commercial Gazette [Monitor Sądowy i Gospodarczy] No. 16 (6918), under item No. 3334, with the following wording:
" Międzynarodowe Targi Gdańskie S.A. with its registered office in Gdańsk, ul. Żaglowa 11, 80-560 Gdańsk, KRS 38362, announces that on 16.01.2024, the Extraordinary General Meeting of the Company adopted resolution No. 12/2024 concerning the voluntary redemption of series N shares numbered 448,035 to 473,034 (inclusive). By virtue of resolution No. 13/2024, the Extraordinary General Meeting of the Company resolved to reduce the Company's share capital from PLN 47,652,250.00 (forty-seven million six hundred and fifty-two thousand two hundred and fifty) to PLN 46,402,250.00 (forty-six million four hundred and two thousand two hundred and fifty), that is, by PLN 1,250,000.00 (one million two hundred and fifty thousand).
In connection with the adoption by the Extraordinary General Meeting of the reduction of share capital, the Company, pursuant to Article 456 of the Polish Commercial Companies Code (KSH), is obliged, within 3 months of the date of publication of this notice, to satisfy any due claims reported by creditors or to secure any claims not yet due, if it is shown to be probable that the reduction jeopardises the satisfaction of such claims and that the creditors have not received security (Article 456 § 2 KSH). In view of the above, the Company's creditors are called upon to submit their due claims within three months of the date of publication of this notice. Creditors may also, within the above period, demand security for claims not yet due that arose before the date of publication of the resolution on the reduction of share capital, if they show it to be probable that the reduction jeopardises the satisfaction of those claims and that they have not received security from the company.
