The Management Board of Międzynarodowe Targi Gdańskie S.A., with its registered office in Gdańsk (80-560), ul. Żaglowa 11 (hereinafter referred to as the “Company”), informs that:
pursuant to the Act of 30 August 2019 amending the Commercial Companies Code and certain other acts (Journal of Laws of 2019, item 1798, as amended, Journal of Laws of 2020, item 875), mandatory dematerialisation of all shares of the Company was introduced.
In connection with the above, the Company, on the basis of the obligatory five announcements published in the Court and Commercial Gazette (Monitor Sądowy i Gospodarczy) under the following numbers:
· 188(6078) on 25.09.2020, item 49326
· 200(6090) on 13.10.2020, item 53974
· 215(6105) on 3.11.2020, item 59910
· 230(6120) on 25.11.2020, item 65786
· 245(6135) on 16.12.2020, item 72015
called upon shareholders to deposit their shares at the Company's registered office for dematerialisation and entry in the shareholder register. At the same time, the Company informed shareholders, among other things, that:
· the legal force of share documents issued by the Company expires by operation of law on 1 March 2021. From that date, entries in the shareholder register acquire legal force.
· after 1 March 2021, only a person entered in the shareholder register is considered a shareholder in relation to the Company.
· the share document retains evidentiary force solely for the purpose of a shareholder demonstrating to the Company that they are entitled to shareholder rights, until 1 March 2026.
In connection with the above, the Company informs that failure to dematerialise shares and enter them in the shareholder register by 1 March 2026 will result in the risk of being unable to effectively demonstrate one's shareholder rights against the Company, as the share document will lose its evidentiary force upon expiry of that deadline.
As a consequence of the above, the Management Board of Międzynarodowe Targi Gdańskie S.A. calls upon all shareholders holding share documents of the Company in material (paper) form to submit them to the Company, at the Company's Secretariat in Gdańsk (80-560), ul. Żaglowa 11, on working days between 9:00 a.m. and 3:00 p.m.
Shareholders who have shares deposited at the Company's registered office are asked to contact the Company on +48 58 5549482, +48 667 041 100 or +48 58 5549200 in order to arrange a necessary meeting at the Company's registered office to carry out the dematerialisation of their shares.
