The Management Board of Międzynarodowe Targi Gdańskie S.A., with its registered office in Gdańsk (the “Company”), informs that on 22 January 2025, an announcement regarding the reduction of the Company's share capital was published in the Court and Commercial Gazette (Monitor Sądowy i Gospodarczy) No. 14 (7168) under item No. 2958, with the following content:
Międzynarodowe Targi Gdańskie S.A., with its registered office in Gdańsk, ul. Żaglowa 11, 80-560 Gdańsk, KRS 38362, announces that on 15.01.2025, the Company's Extraordinary General Meeting adopted resolution No. 14/2025 on the voluntary redemption of series N shares numbered 473,035 to 523,034 (inclusive). Pursuant to resolution No. 15/2025, the Company's Extraordinary General Meeting resolved to reduce the Company's share capital from PLN 64,535,550.00 (sixty-four million five hundred and thirty-five thousand five hundred and fifty) to PLN 62,035,550.00 (sixty-two million thirty-five thousand five hundred and fifty), that is, by PLN 2,500,000.00 (two million five hundred thousand).
In connection with the Extraordinary General Meeting's resolution to reduce the share capital, the Company, pursuant to Article 456 of the Commercial Companies Code, is obliged, within 3 months of the date of publication of this announcement, to satisfy any due claims made by creditors, or to secure any claims not yet due, if it is made probable that the reduction of capital jeopardises the satisfaction of claims and that creditors have not received security (Article 456 § 2 of the Commercial Companies Code).
In view of the above, the Company's creditors are called upon to report due claims within three months of the date of publication of this announcement.
Creditors may also, within the above period, demand security for claims not yet due that arose before the date of publication of the resolution on the reduction of share capital, if they demonstrate that the reduction threatens the satisfaction of these claims and that they have not received security from the Company.
